Doesnt he have a fiduciary responsibility to the share holders? How is this unnecessary move going to help increase their value?

Unless I'm mistaken they've always been based in Texas. Like look at their corporate license, they're incorporated in Texas. SpaceX isn't moving shit, he's just talking out his ass per usual.

SpaceX is not publicly traded, so there are no (public) shareholders to be beholden to

There are stake holders that are not elon he only has like 54% still a fiduciary responsibility
